The Ministry of Energy has announced a competitive selection of candidates to fill three positions of independent members of the supervisory board of state-owned NPC Ukrenergo. This was reported by Komersant ukrainskyi with reference to Ukrenergo.
The Ministry of Energy stressed that the process of selecting members of the supervisory board should be carried out in accordance with the current legislation of Ukraine, the company’s charter and the OECD corporate governance guidelines.
“Taking into account the expiration of the term of office of the members of the Supervisory Board of NPC Ukrenergo at the end of 2024 – beginning of 2025, the Ministry of Energy, as a management entity performing the functions of the general meeting of the shareholder, pursuant to Article 11-2 of the Law of Ukraine “On Management of State-Owned Property”, by order of 09.09.2024 No. 337 “On the competitive selection of independent members of the Supervisory Board of the Private Joint Stock Company “National Energy Company “Ukrenergo”, a competitive selection of candidates for three positions of independent members of the Supervisory Board of NPC “Ukrenergo” was announced, the statement said.
“Ukrenergo has been instructed to engage a professional recruitment consultant in accordance with the resolution of the Cabinet of Ministers.
Simultaneously with the competitive selection of independent members of the Supervisory Board, the Ministry of Energy will identify and elect candidates for state representatives to the Supervisory Board of NPC Ukrenergo.
“The first and foremost task of the newly created independent Supervisory Board will be to conduct a transparent competitive selection of candidates for the position of the Chairman of the Board of NPC Ukrenergo. Thus, the Supervisory Board will decide on the criteria for selecting candidates for the position of the Chairman of the Board and approve the Procedure for conducting a competitive selection,” the Ministry said in a statement.
The selection of all board members – four independent and three state representatives – is scheduled to be completed by 9 December.
It is noted that in accordance with the provisions of Article 112 of the Law of Ukraine “On the Management of State-Owned Property”, the current supervisory board of NPC Ukrenergo consisting of 4 people remains competent.
